GENERAL TERMS AND CONDITIONS ELEANOR

  1. WELCOME


    1. Welcome to the general terms and conditions of Eleanor. Like our service, we try to keep these terms and conditions as simple as possible. This is not always feasible, and sometimes we cannot avoid legal wording; if something is unclear, or if you have other questions about these terms or about Eleanor, please feel free to email info@eleanor.tech.



  1. WHAT IS ELEANOR?


    1. Eleanor is a (digital) platform (Eleanor or the Platform) where a freelancer can get in touch themselves, or bring a fellow freelancer in touch with a client for the execution of a possible task (the Lead or the Assignment). The freelancer who establishes the contact (we call this freelancer the Mediator) can also earn some extra money. 


      The client (whom we conveniently call the Client) can thus get in touch with a freelancer from a trusted network. Using Eleanor can also significantly save on recruitment costs for the Client. And the freelancer (whom we simply call Freelancer , but could also have called self-employed or contractor) gets a potentially nice (and well-paid) job. Eleanor also takes away a large part of the administrative hassle that comes with establishing such an Assignment.


      A win-win-win situation!


    1. Eleanor allows the Client and Freelancer to come to an agreement regarding the Assignment, which agreement can be generated by Eleanor or drafted and uploaded by the Client and the Freelancer themselves in Eleanor (the Agreement). Eleanor and the Mediator are not parties to this Agreement and have no involvement in its establishment and/or content.


    2. Additionally, Eleanor offers Users (see later in chapter C who these are) various modules through her Platform, which can (or may) be used in the execution of the Agreement (Modules). See chapter D for the different Modules.


    3. If an Agreement is established through Eleanor, the Client pays Eleanor a monthly usage fee for the use of the Platform (the Usage Fee) throughout the term and the Mediator receives a monthly fee for establishing a successful contact (Referral Fee). See chapter E for more information on fees, payments, and invoicing.



  1. APPLICABILITY


    1. These terms of use of Eleanor (the Terms) – which Eleanor can unilaterally amend from time to time – apply to any use of Eleanor (both via computer and mobile devices) by the Users of the Terms. The Users of the Terms are the Mediator, the Client, and the Freelancer. If Eleanor changes the Terms, she will inform the Users of this. 


    2. By registering with Eleanor, the User accepts these Terms.  


    3. All general terms and conditions of the Users are expressly rejected and do not apply to the use of Eleanor by the Users.

       

    4. If a provision from the Terms is invalid or unenforceable, the other provisions from the Terms remain fully effective. The invalid or unenforceable provision will then be replaced by a provision that closely aligns with it. 



  1. HOW DOES ELEANOR WORK?

    For the Freelancer

    1. Freelancers can only sign up with Eleanor based on an invitation from Eleanor herself or via existing users, such as clients or already registered freelancers.  


    2. The Freelancer receives an email from the Platform with a registration link. Via the link and after verifying the email address, the Freelancer can register with Eleanor by creating their own profile. After registration, the freelancer can further complete their profile with personal and financial details. By creating their own profile, the freelancer accepts the general terms of use. The freelancer gains access to freelance assignments via the Platform and can fulfill the role as Mediator. 


    For the Mediator

    1. A Freelancer takes on the role of Mediator when they propose their trusted network of Freelancers for assignments.

    For the Client

    1. The Client can register with Eleanor through the website (www.eleanor.tech) or, from the moment the app is available, through the app. By creating their own profile, the Client accepts the General Terms of Use.  The Client is able to publish new assignments and gain insight into suitable Freelancer profiles via the Platform.. 


    Introduction Client / Freelancer

    1. Once the Assignment has been published by the Client in Eleanor, Freelancers can sign up or propose freelancers from their trusted network. The Client obtains insight into the candidate's profile, including the CV and possibly a (referral) motivation.


    2. The Client and the Freelancer can then – outside of Eleanor – contact each other about the (establishment and content of the) Agreement. If the Client and the Freelancer wish to enter into an Agreement with each other, they can choose to use: 

    i) the model Agreement facilitated by Eleanor, including a number of optional provisions, or;

    ii) an Agreement drawn up by the Client and the Freelancer themselves.

    The Client and the Freelancer agree – outside of Eleanor – which terms and conditions form part of the a Agreement. 


    Use model Agreement Eleanor 

    1. If the Client and the Freelancer wish to use Eleanor’s facilitated model Agreement, the Client indicates in Eleanor which terms and possibly optional provisions (which can be checked in Eleanor) form part of the Agreement and approves the Agreement. 


    2. After approval of the Agreement by the Client, Eleanor generates the Agreement. The Agreement is sent by email to the Client and the Freelancer and can be signed digitally via Eleanor. Only after signing the Agreement by both the Client and the Freelancer, the Agreement is established. The Client, the Freelancer and if applicable the Mediator then receive a message from Eleanor that an Agreement has been established.


    Use own Agreement

    1. If the Client and the Freelancer wish to use an Agreement drawn up by the Client and the Freelancer themselves, the Client can upload the agreed and signed Agreement between the Client and the Freelancer in Eleanor. 


      • NB: For proper execution of the Agreement via Eleanor, the Client must enter or adjust the agreed fee, the start and end date and the contract hours per week of the Agreement in the Assignment in Eleanor. This happens through a pop-up after uploading the document.


    1. After uploading the Agreement and entering the agreed fee, the start and end date, and the contract hours per week in Eleanor, the Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that an Agreement has been established. 


      Extension of the Agreement 

    2. The Client, the Freelancer, and the Mediator receive a message via Eleanor at least one month before the Agreement's end date stating that the Agreement is coming to an end. This message offers the Client and the Freelancer the option to extend the Agreement.


    3. If the Client and the Freelancer wish to extend the Agreement, this extension is made on the same terms as the previous Agreement, except for the (new) start and end dates and – possibly – the fee and the number of contract hours per week. 


    4. The Client and the Freelancer can indicate in Eleanor if, and if so, for what period (the new start and end date), at what fee and what number of contract hours per week they wish to extend the Agreement. If both the Client and the Freelancer have agreed in Eleanor for the extension of the Agreement, the period of that extension, and the fee, a new Agreement is established. If the Client and Freelancer wish to amend the Agreement (for the purpose of the extension) on more items than mentioned in this article 22, a new Task must be created by the Client, in accordance with the provisions of articles 15 of this Agreement.


    1. The Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that a (follow-up) Agreement has been established. This message also displays the essential elements of the (follow-up) Agreement. 


    Modules 

    1. Eleanor facilitates various Modules that can (or may) be used for the execution of the Agreement:


      • Module Job Description: In this Module, the Client creates a task, optionally using the free AI functions.


      • Module Time Registration: In this Module, the Freelancer approves the hours they have worked on the Task based on the Agreement (the Worked Hours), at the latest on the last day of the month. If the actual hours differ, and if costs have been incurred for the project, the Freelancer can indicate this. The Client has a period of 3 working days after its entry to approve the Worked Hours. If the Client has not approved the Worked Hours within this period, the Worked Hours are deemed to have been approved by the Client. 


      • Module Accounting: In this module, all financial obligations and entitlements of the Users arising from these Terms and the Agreement are displayed. The Users always have access to this module.


      • Module Contract Management: This module facilitates the model Agreement, including optional provisions, any extension(s) and amendments thereof, and the digital signature.   


    2. Through the Platform, Eleanor can also offer Users additional modules to support the execution of the Agreement, against an additional, separately agreed fee.


  1. TRANSFER, FEES AND PAYMENT THEREOF


    1. The Freelancer and the Client make agreements on a fee per worked hour in the Agreement (the Fee). The Fee is exclusive of the Referral Fee (for the Mediator) and the Usage Fee (for Eleanor). 


    2. With the Agreement, the Freelancer transfers their claims from the Agreement on the Client to Eleanor (this is called transfer). The Freelancer explicitly agrees to this transfer and the Client declares to be aware of this transfer. This transfer means that Eleanor will invoice the Fee and the Client must pay Eleanor in full discharge. 


    3. Eleanor sends a monthly invoice to the Client for the Fee, at the latest 1 working day after the Client has approved the Worked Hours in the Time Registration Module. The Client pays the invoice within the contractually agreed payment term.

      • NB: if the Client and the Freelancer use an Agreement drawn up by the Client and the Freelancer themselves, - as far as necessary deviating from the invoicing and payment agreements in that Agreement – the provisions in articles 27 through 29 of these Terms apply.


    1. Eleanor receives a Usage Fee for providing the Platform. The Usage Fee is equal to an amount of EUR 3.50 excluding VAT per Worked Hour.


    2. Where applicable, the Mediator receives a Referral Fee for establishing a contact. This Referral Fee is equal to an amount of EUR 2.50 excluding VAT per Worked Hour. Eleanor uses reverse billing. This means that Eleanor will send a Mediator an invoice for the Referral Fee drawn up by Eleanor each month, stating "invoice issued by the recipient". Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


    3. Eleanor also uses reverse billing for paying the Freelancer (see above in article 30). Eleanor sends an invoice to the Freelancer, stating "invoice issued by recipient" for the amount of the Fee remaining after deduction of the Usage and Referral Fee. Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day, after Eleanor has received the Fee from the Client. 


  1. EXCLUSIVITY 


    1. An important goal of Eleanor is that the Mediator is rewarded for making their network available to the Client and the Freelancer. It would therefore not be fair and would not align with the idea of Eleanor if the Client and the Freelancer - after being connected through the Mediator via Eleanor - bypass both the Mediator and Eleanor by contracting with each other outside of Eleanor. This also applies when Freelancer and Client make contact without the Mediator's intervention outside Eleanor to coordinate the terms of their Agreement.


    2. To counter this, the Client (and/or its affiliate companies) and the Freelancer are not allowed to enter into any agreement, in any form whatsoever, with each other directly – thus outside Eleanor – without Eleanor's written permission, for a period of 3 months after the project's publication. Eleanor will not unreasonably withhold its permission, for example in case the subject of the agreement to be concluded by the Freelancer and the Client is about a substantially different project than the Assignment or substantially different work than required for the Assignment.  


    3. Upon violation of the exclusivity clause of article 33 of these Terms, the Client and the Freelancer are each individually liable to pay a penalty to Eleanor of EUR 3,000 per violation. The penalty is immediately enforceable, without further notice, default, or judicial intervention. Any penalty received by Eleanor based on this article will be awarded 50% to the Mediator, if applicable.. 


  1. MISCELLANEOUS 


    1. The Mediator confirms that he/she does not use Eleanor in the exercise of a profession or business and only uses it incidentally. 


    2. The Client and the Freelancer grant the Mediator permission to view the Task and the Time Registration Module. 


    3. Eleanor offers a (model) agreement to the Client and the Freelancer as a service, including optional provisions. The use of this agreement and/or the optional provisions is at the Client's and the Freelancer's discretion. The Client and the Freelancer confirm they do not intend to enter into an employment agreement within the meaning of article 7:610 of the Dutch Civil Code with each other. 


    4. Eleanor is not liable for the consequences of using this (model) agreement or the optional provisions. The agreement is entered into between the Client and the Freelancer. Eleanor and, if applicable, the Mediator are not parties to this agreement and neither have any involvement in the content and execution of the agreement. 


    5. Eleanor is not liable for the quality of the work delivered by the Freelancer or the quality of a Task of the Client, nor for the recruitment and selection of the Freelancer. Eleanor provides a Platform to facilitate the meeting of supply and demand, but has no substantive involvement in this. 


    6. The Users themselves are responsible for filing correct declarations for all taxes, social security premiums, and other contributions owed by them under the Terms and/or the Agreement and ensuring timely payment thereof. 


    7. Eleanor reserves the right to refuse or terminate a User's registration.


    8. Eleanor is not responsible and/or liable for (i) any content posted on or damage arising from the Platform, its website or application (ii) damage arising from failure to comply fully with one or more provisions of these Terms and/or the Agreement, including but not limited to payments under the Agreement and/or (iv) the actions or omissions of the Users.


    9. If Eleanor - for whatever reason - is liable to a User, this liability is limited to a maximum of 3 times the average Usage Fee in relation to the Assignment. 


    10. The Users agree to the provision of personal and contact details to Eleanor and by Eleanor to the other Users. 


    11. The Users give Eleanor permission to process personal data. It is necessary for Eleanor to process personal data, including for the execution of these Terms and the Agreement. 


    1. The Terms are governed solely by Dutch law. Any disputes arising from or related to these Terms or the Agreement, insofar as they concern Eleanor, will be submitted exclusively to the Amsterdam District Court.

Eleanor is a (digital) platform (Eleanor or the Platform) where a freelancer can connect with a client or bring a fellow freelancer in contact with a client for the execution of a possible assignment (the Lead or the Assignment). This allows the freelancer who establishes the contact (we call this freelancer the Mediator) to earn some extra money. 


The client (whom we conveniently refer to as the Client) can thus connect with a freelancer from a trusted network. Additionally, using Eleanor can significantly reduce recruitment costs for the Client. The freelancer (whom we simply call Freelancer , but could just as well be termed self-employed individual, contractor, or independent professional) may receive a nice (and well-paid) project. In addition, Eleanor takes away a large part of the administrative hassle associated with the establishment of such an Assignment.

A win-win-win situation!


  1. Eleanor enables the Client and Freelancer to come to an agreement regarding the Assignment, which agreement can be generated by Eleanor or drawn up and uploaded by the Client and Freelancer themselves in Eleanor (the Agreement). Eleanor and the Mediator are not parties to this Agreement and have no further involvement in its establishment and/or content.


  1. In addition, Eleanor offers Users (see hereafter in chapter C who they are) various modules via its Platform that can be used in the execution of the Agreement (Modules). See chapter D for the various Modules.


  1. If an Agreement is established via Eleanor, the Client pays a usage fee to Eleanor for the use of the Platform during the term on a monthly basis (the Usage Fee) and the Mediator receives a fee for establishing a successful contact on a monthly basis (Referral Fee). See chapter E for more details on fees, payments, and invoicing.


  1. APPLICABILITY

  1. If any provision of the Terms is invalid or unenforceable, the other provisions of the Terms remain in full force. The invalid or unenforceable provision will then be replaced by a provision that closely approximates it. 


  1. HOW DOES ELEANOR WORK?


For the Freelancer

  1. Freelancers can only register with Eleanor based on an invitation from Eleanor itself or through existing users, such as clients or already registered freelancers.  


  1. The Freelancer receives an email from the Platform with a registration link. Through the link, after verifying the email address, the Freelancer can register with Eleanor by creating a personal profile. After registration, the freelancer can further complete their profile with personal and financial details. By creating a personal profile, the freelancer accepts the general terms and conditions. The freelancer gains access to freelance assignments through the Platform and can take on the role of Mediator. 


For the Mediator

  1. A Freelancer takes on the role of Mediator when they recommend their trusted network of Freelancers for assignments.


For the Client

  1. The Client can register with Eleanor via the website (www.eleanor.tech) or, once the app becomes available, via the app. By creating their own profile, the Client accepts the General Terms and Conditions.  The Client gains the ability to publish new assignments and view suitable Freelancer profiles through the Platform.. 


Introduction Client / Freelancer

  1. After the Client publishes the Assignment in Eleanor, Freelancers can register or recommend freelancers from their trusted network. The Client gains insight into the candidate's profile, which includes, among other things, the CV, possibly along with (referral) motivation.


  1. The Client and the Freelancer can then – outside of Eleanor – contact each other regarding the (establishment and content of the) Agreement. If the Client and the Freelancer wish to enter into an Agreement with each other, they can choose to make use of: 


  1. the model Agreement facilitated by Eleanor, including a number of optional provisions, or;

  2. an Agreement drafted by the Client and the Freelancer themselves.


The Client and the Freelancer agree – outside of Eleanor – on which conditions and which provisions are part of the Agreement. 


Using the model Agreement from Eleanor 

  1. If the Client and the Freelancer wish to use the model Agreement facilitated by Eleanor, the Client indicates in Eleanor which conditions and – optionally – which optional provisions (which can be checked in Eleanor) are part of the Agreement and approves the Agreement. 


  1. After the Client approves the Agreement, Eleanor generates the Agreement. The Agreement will be sent via email to the Client and the Freelancer and can be digitally signed through Eleanor. Only after both the Client and the Freelancer have signed the Agreement, does the Agreement come into effect. The Client, the Freelancer, and if applicable, the Mediator, will then receive a message from Eleanor that an Agreement has been established.


Using a personal Agreement

  1. If the Client and the Freelancer wish to use their own Agreement, the Client can upload the mutually agreed and signed Agreement between the Client and the Freelancer in Eleanor. 


Note: For proper execution of the Agreement via Eleanor, the Client must enter or adjust the agreed fee, the start and end date, and the contract hours per week of the Agreement in the Assignment in Eleanor. This occurs via a pop-up after uploading the document.


  1. After uploading the Agreement and entering the agreed fee, the start and end date, and the contract hours per week in Eleanor, the Client, the Freelancer, and if applicable the Mediator will receive a message via Eleanor that an Agreement has been established. 


Extension of the Agreement 

  1. One month before the end date of the Agreement, the Client, the Freelancer, and the Mediator will receive a message via Eleanor that the Agreement is about to end. This message will offer the Client and the Freelancer the option to extend the Agreement.


  1. If the Client and the Freelancer wish to extend the Agreement, this extension will occur under the same conditions as the previous Agreement, with the exception of the (new) start and end date and – optionally – the fee and the number of contract hours per week. 


  1. The Client and the Freelancer can indicate in Eleanor whether, and if so, for what period (what new start and end date), against what fee and what number of contract hours per week they wish to extend the Agreement. If both the Client and the Freelancer have given their consent in Eleanor for the extension of the Agreement, the period of that extension, and the fee, a new Agreement will come into effect. If the Client and Freelancer wish to amend the Agreement (for the extension) in more respects than stated in this article 22, a new Assignment must be created by the Client, in accordance with what is set out in articles 15 of this Agreement.


  1. The Client, the Freelancer, and if applicable the Mediator will receive a message via Eleanor that a (subsequent) Agreement has been established. This message will also include the essential terms of the (subsequent) Agreement. 


Modules 

  1. Eleanor facilitates various Modules that can be used for the execution of the Agreement:


  • Module Function Description: in this Module, the Client creates an assignment, possibly with the help of the free AI features.

     

  • Module Time Registration: in this Module, the Freelancer approves the hours worked by him/her on the Assignment based on the Agreement (the Worked Hours), no later than the last day of the month.  If the actual hours deviate, and when costs have been incurred for the project, the Freelancer can indicate that. The Client has a period of 3 working days after input to approve the Worked Hours. If the Client does not approve the Worked Hours within this period, the Worked Hours are deemed to have been approved by the Client. 


  • Module Accounting: this module includes all financial obligations and claims of the Users arising from these Terms and the Agreement. Users always have access to this module.


  • Module Contract Management: this module facilitates the model Agreement including optional provisions, any extensions and amendments thereof, and the digital signature.   

 

  1. Eleanor can also offer additional modules to the Users for the execution of the Agreement, for an additional and to be agreed fee.


  1. CESSION, FEES, AND PAYMENT THEREOF


  1. The Agreement includes agreements between the Freelancer and the Client about a fee per hour worked (the Fee). The Fee is exclusive of the Referral Fee (for the Mediator) and the Usage Fee (for Eleanor). 


  1. In the Agreement, the Freelancer cedes their claims from the Agreement on the Client to Eleanor (this is called cession). The Freelancer expressly agrees to this transfer and the Client hereby declares to be aware of this transfer. This transfer entails that Eleanor will invoice the Fee and that the Client must make payment to Eleanor to be released. 


  1. Eleanor sends the Client an invoice for the Fee on a monthly basis, no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. The Client pays the invoice no later than within the contractually agreed payment term.


Note: if the Client and the Freelancer use an Agreement drawn up by the Client and the Freelancer themselves, the provisions in articles 27 to 29 of these Terms shall apply as needed, deviating from the invoicing and payment agreements in that Agreement.

  

  1. Eleanor receives a Usage Fee for providing access to the Platform. The Usage Fee is equal to an amount of EUR 3.50 excluding VAT per Worked Hour.


  1. If applicable, the Mediator receives a Referral Fee for establishing a contact. This Referral Fee is equal to an amount of EUR 2.50 excluding VAT per Worked Hour. Eleanor uses reverse invoicing. This means that Eleanor will send a monthly invoice to the Mediator for the Referral Fee, stating "invoice issued by the buyer." Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


  1. Eleanor also uses reverse invoicing for the payment of the Freelancer (see above in article 30). Eleanor sends an invoice to the Freelancer, stating "invoice issued by buyer" for the amount of the Fee that remains after deducting the Usage Fee and the Referral Fee. Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


  1. EXCLUSIVITY 


  1. One important goal of Eleanor is that the Mediator is rewarded for providing their network to the Client and the Freelancer. Therefore, it would not be reasonable and would not conform to the thinking of Eleanor if the Client and the Freelancer - after being paired by the Mediator via Eleanor - bypass the Mediator and Eleanor by contracting with each other outside of Eleanor. This also applies when Freelancer and Client make contact without the Mediator's involvement outside of Eleanor to coordinate the terms of their Agreement.


  1. To prevent this, it is prohibited for the Client (and/or its affiliated companies) and the Freelancer, during a period of 3 months after the publication of the project, to conclude an agreement in any form directly - thus outside of Eleanor - without written permission from Eleanor. Eleanor will not unreasonably withhold its consent, for example if the subject of the agreement to be concluded by the Freelancer and the Client pertains to a fundamentally different project than the Assignment or involves fundamentally different work than required for the Assignment.  


  1. In the event of a breach of the exclusivity clause in article 33 of these Terms, the Client and the Freelancer each individually owe a penalty to Eleanor of EUR 3,000 per breach. The penalty is immediately payable, without any further notice, demand for payment, or judicial intervention. Any penalties received by Eleanor under this article will be paid out 50% to the Mediator, if applicable.. 


  1. OTHER PROVISIONS 


  1. The Mediator confirms that he/she uses Eleanor only incidentally and not in the exercise of a profession or business. 


  1. The Client and the Freelancer grant the Mediator permission to inspect the Assignment and the Time Registration Module. 


  1. Eleanor provides a (model) agreement as a service to the Client and the Freelancer, including optional provisions. The use of this agreement and/or the optional provisions is at the discretion of the Client and the Freelancer. The Client and the Freelancer confirm that they do not intend to enter into an employment contract with each other within the meaning of Article 7:610 of the Civil Code. 


  1. Eleanor is not liable for the consequences of the use of this (model) agreement or the optional provisions. The agreement is entered into between the Client and the Freelancer. Neither Eleanor nor, if applicable, the Mediator, is a party to this agreement nor do they have any further involvement in the content and implementation of the agreement. 


  1. Eleanor is not liable for the quality of the work performed by the Freelancer or the quality of an Assignment from the Client, nor for the recruitment and selection of the Freelancer. Eleanor provides a Platform to facilitate the matching of supply and demand, but has no substantive involvement in that process. 


  1. The Users are responsible for submitting correct filings for all taxes and social insurance premiums owed by them under the Terms and/or the Agreement and ensuring timely payment thereof. 


  1. Eleanor reserves the right to refuse or terminate a User's registration.


  1. Eleanor is not responsible and/or liable for (i) any content posted on - or damage arising from - the Platform, its website, or the application (ii) damage arising from non-fulfillment or failure to fulfill one or more provisions of these Terms and/or the Agreement, including payments arising from the Agreement and/or (iv) the actions or omissions of the Users.


  1. If Eleanor were to be liable for any reason towards a User, then this liability is limited to a maximum of 3 times the average Usage Fee related to the Assignment. 


  1. The Users agree to provide personal and contact details to Eleanor and to other Users via Eleanor. 


  1. The Users give Eleanor permission to process personal data. It is necessary for Eleanor to process personal data, among other things, for the execution of these Terms and the Agreement. 


  1. Only Dutch law applies to the Terms. Any disputes arising from or related to these Terms or the Agreement, to the extent this concerns Eleanor, shall be submitted exclusively to the District Court of Amsterdam.

  1. WELCOME


    1. Welcome to the general terms of use of Eleanor. Like our service, we try to keep these terms as simple as possible. This is not always entirely possible, and sometimes we cannot avoid legal terminology; if something is unclear, or if you have other questions about these terms or about Eleanor, feel free to send an email to info@eleanor.tech.



  1. WHAT IS ELEANOR?


    1. Eleanor is a (digital) platform (Eleanor or the Platform) where a freelancer can independently connect, or invite a fellow freelancer to connect with a client for the execution of a potential assignment (the Lead or the Assignment). This allows the freelancer who initiates the contact (whom we call the Mediator) to earn some extra money. 


      The client (whom we conveniently call the Client) can connect with a freelancer from a trusted network. Using Eleanor can also significantly reduce recruitment costs for the Client. And the freelancer (whom we simply call Freelancer, but could also be called self-employed or contractor) may get a nice (and well-paid) job. Moreover, Eleanor removes a large part of the administrative hassle involved in creating such an Assignment.


      A win-win-win situation!


    1. Eleanor enables the Client and Freelancer to reach an agreement regarding the Assignment, which can either be generated by Eleanor or prepared and uploaded in Eleanor by the Client and the Freelancer themselves (the Agreement). Eleanor and the Mediator are not parties to this Agreement and are not involved in its creation and/or content.


    2. Additionally, Eleanor offers Users (see later in chapter C for who these are) various modules on her Platform that can be used in the execution of the Agreement (Modules). See chapter D for the various Modules.


    3. If an Agreement is made through Eleanor, the Client pays Eleanor a monthly usage fee for the use of the Platform during the term of the Agreement (the Usage Fee), and the Mediator receives a monthly fee for bringing about a successful contact (Introduction Fee). See chapter E for more details on fees, payments, and billing.



  1. APPLICABILITY


    1. These Eleanor terms of use (the Terms)—which Eleanor can unilaterally amend from time to time—apply to any use of Eleanor (both via computer and mobile devices) by the users of the Terms. The Users of the Terms are the Mediator, the Client, and the Freelancer. If Eleanor changes the Terms, she will inform the Users. 


    2. By registering with Eleanor, the User accepts these Terms.  


    3. All general terms and conditions of the Users are expressly rejected and do not apply to the use of Eleanor by the Users.

       

    4. If any provision of the Terms is invalid or unenforceable, the other provisions will remain in full force. The invalid or unenforceable provision will then be replaced by a provision that comes as close as possible to it.



  1. HOW DOES ELEANOR WORK?

    For the Freelancer

    1. Freelancers can only register with Eleanor based on an invitation from Eleanor itself or through existing users, such as clients or already registered freelancers.  


    2. A Freelancer receives an email from the Platform with a registration link. Through the link, after verifying the email address, the Freelancer can register with Eleanor by creating their own profile. After registration, the freelancer can further complete their profile with personal and financial details. By creating their own profile, the freelancer accepts the general terms of use. The freelancer gains access to freelance assignments and can take on the role of Mediator through the Platform. 


    For the Mediator

    1. A Freelancer assumes the role of Mediator when recommending their trusted network of Freelancers for assignments.


    For the Client

    1. The Client can register with Eleanor through the website (www.eleanor.tech) or, once the app is available, through the app. By creating an own profile, the Client accepts the General Terms of Use. The Client has the possibility to publish new assignments and gain insight into suitable Freelancer profiles through the Platform. 


    Introduction Client / Freelancer

    1. Once the Assignment is published by the Client in Eleanor, Freelancers can sign up or recommend freelancers from their trusted network. The Client gains insight into the candidate's profile, including the CV and optional (referral) motivation.


    2. The Client and the Freelancer can then connect with each other outside of Eleanor to discuss the (formation and content of the) Agreement. If the Client and the Freelancer wish to enter into an Agreement, they can choose to use:

    i) the Eleanor-facilitated model Agreement, including a number of optional provisions, or;

    ii) an Agreement prepared by the Client and the Freelancer themselves.


    The Client and the Freelancer decide—outside Eleanor—which terms and conditions form part of the Agreement. 


    Use of Eleanor model Agreement 

    1. If the Client and the Freelancer want to use the Eleanor-facilitated model Agreement, the Client can indicate in Eleanor which terms and—if applicable—optional provisions (which can be checked in Eleanor) form part of the Agreement, and approves the Agreement. 


    2. After approval of the Agreement by the Client, Eleanor generates the Agreement. The Agreement is sent by email to the Client and the Freelancer and can be digitally signed via Eleanor. Only after the Agreement is signed by both the Client and the Freelancer is the Agreement established. The Client, the Freelancer, and if applicable, the Mediator will then receive a message from Eleanor that an Agreement has been established.


    Use of own Agreement

    1. If the Client and the Freelancer want to use an Agreement prepared by the Client and the Freelancer themselves, the Client can upload the concluded and signed Agreement between the Client and the Freelancer in Eleanor. 


      • NB: For proper execution of the Agreement through Eleanor, the Client must enter or adjust the agreed compensation, start- and end dates, and contract hours per week of the Agreement in the Assignment in Eleanor. This occurs through a pop-up after uploading the document.


    1. After uploading the Agreement and entering the agreed compensation, start- and end dates, and contract hours per week in Eleanor, the Client, the Freelancer, and if applicable, the Mediator receive a message through Eleanor that an Agreement has been established. 


      Agreement Extension 

    2. The Client, Freelancer, and Mediator receive a message through Eleanor one month before the end date of the Agreement that the Agreement is coming to an end. The Client and the Freelancer are offered the option to extend the Agreement with this message.


    3. If the Client and the Freelancer wish to extend the Agreement, this extension is done under the same conditions as the previous Agreement, except for the (new) start and end date and—if applicable—the compensation and the number of contract hours per week. 


    4. The Client and the Freelancer can indicate in Eleanor whether, and if so, for which term (which new start and end date), at which compensation and which number of contract hours per week they wish to extend the Agreement. If both the Client and the Freelancer approve the extension of the Agreement in Eleanor, on the term of the extension and the compensation, a new Agreement comes into existence. If the Client and the Freelancer wish to amend the Agreement (for the extension) on more items than stated in this article 22, a new Assignment must be created by the Client, in accordance with the provisions of articles 15 of this Agreement.


    1. The Client, the Freelancer, and if applicable, the Mediator receive a message through Eleanor that a (follow-up) Agreement has been established. This message also displays the essential elements of the (follow-up) Agreement. 


    Modules 

    1. Eleanor facilitates various Modules that can be used for the execution of the Agreement:


      • Module Job Description: in this Module, the Client creates an assignment, possibly with the help of free AI functions.


      • Module Time Registration: in this Module, the Freelancer approves the hours worked on the Assignment based on the Agreement (the Worked Hours), no later than the last day of the month.  If the actual hours differ, and when costs are incurred for the project, the Freelancer can indicate this. The Client has a period of 3 working days after the introduction of it to approve the Worked Hours. If the Client does not approve the Worked Hours within this period, the Worked Hours are deemed approved by the Client. 


      • Module Accounting: in this module, among others, all financial obligations and claims of the Users arising from these Terms and the Agreement are displayed. Users always have access to this module.


      • Module Contract Management: this module facilitates, among other things, the model Agreement including optional provisions, any extension(s) and amendments thereof, and the digital signature.   


    2. Eleanor may also offer additional modules through the Platform benefiting the execution of the Agreement for an additional and to be agreed upon fee.


  1. CESSION, FEES AND THEIR PAYMENT


    1. In the Agreement, the Freelancer and the Client make agreements regarding a fee per worked hour (the Fee). The Fee is exclusive of the Introduction Fee (for the Mediator) and the Usage Fee (for Eleanor). 


    2. Upon the Agreement, the Freelancer transfers their claims from the Agreement on the Client to Eleanor (this is called cession). The Freelancer expressly agrees to this transfer, and the Client hereby declares to be aware of this transfer. This transfer means that Eleanor will invoice the Fee, and the Client must pay Eleanor to be released from obligation. 


    3. Eleanor sends a monthly invoice to the Client for the Fee, no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. The Client pays the invoice no later than within the contractually agreed payment term.

      • NB: if the Client and the Freelancer use an Agreement prepared by the Client and the Freelancer themselves, - insofar needed, in deviation from the billing and payment arrangements in that Agreement - the provisions in articles 27 to 29 of these Terms apply.


    1. Eleanor receives a Usage Fee for providing the Platform. The Usage Fee is equal to an amount of EUR 3.50 excluding VAT per Worked hour.


    2. If applicable, the Mediator receives an Introduction Fee for bringing about a contact. This Introduction Fee is equal to an amount of EUR 2.50 excluding VAT per Worked hour. Eleanor uses reverse billing. This means that Eleanor will send an invoice created by Eleanor to the Mediator for the Introduction Fee, stating "invoice issued by the purchaser". Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


    3. Eleanor also uses reverse billing for the payment of the Freelancer (see above in article 30). Eleanor sends an invoice to the Freelancer, stating "invoice issued by purchaser" for the amount of the Fee that remains after deducting the Usage Fee and the Introduction Fee. Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


  1. EXCLUSIVITY 


    1. An important goal of Eleanor is to reward the Mediator for making their network available to the Client and the Freelancer. Therefore, it would not be reasonable and would not align with Eleanor's purpose if the Client and the Freelancer - after being connected by the Mediator via Eleanor - bypass the Mediator and Eleanor by contracting outside Eleanor. This also applies when the Freelancer and the Client contact each other outside Eleanor without the Mediator's intervention to agree on the terms of their Agreement.


    2. To prevent this, the Client (and/or associated companies) and the Freelancer are not allowed, for a period of 3 months after the publication of the project, to conclude an agreement in any form directly with each other without written permission from Eleanor—thus outside Eleanor. Eleanor will not unreasonably withhold her consent, for example, if the subject of the agreement to be concluded by the Freelancer and the Client pertains to a significantly different project than the Assignment or to substantially different work than required for the Assignment.  


    3. In case of a breach of the exclusivity clause of article 33 of these Terms, the Client and the Freelancer are each separately liable to pay Eleanor a penalty of EUR 3,000 per violation. The penalty is immediately due, without further notice, demand, or judicial intervention. Any penalty received by Eleanor under this article will be paid out 50% to the Mediator, if applicable. 


  1. MISCELLANEOUS PROVISIONS 


    1. The Mediator confirms that he/she does not use Eleanor in pursuit of a profession or business and only uses it occasionally. 


    2. The Client and the Freelancer grant the Mediator permission to view the Assignment and the Time Registration Module. 


    3. Eleanor provides a (model) agreement to the Client and the Freelancer, including optional provisions, as a service. Usage of this agreement and/or optional provisions is at the discretion of the Client and the Freelancer. The Client and the Freelancer confirm they do not intend to enter into an employment contract with each other within the meaning of article 7:610 of the Civil Code. 


    4. Eleanor is not liable for the consequences of using this (model) agreement or the optional provisions. The agreement is executed between the Client and the Freelancer. Neither Eleanor nor, if applicable, the Mediator is a party to this agreement nor are they involved in its content and execution. 


    5. Eleanor is not liable for the quality of the work delivered by the Freelancer or the quality of an Assignment from the Client, nor for the recruitment and selection of the Freelancer. Eleanor provides a Platform to facilitate the matching of demand and supply but has no substantial involvement therein. 


    6. The Users are responsible for submitting correct tax filings for all taxes, social security contributions, and other charges payable under the Terms and/or the Agreement and ensure timely payments thereof. 


    7. Eleanor reserves the right to refuse or terminate the registration of a User.


    8. Eleanor is not responsible and/or liable for (i) any content posted on - or damage arising from - the Platform, its website, or the application (ii) damage arising from the non-fulfillment or partial fulfillment of one or more provisions of these Terms and/or the Agreement, including payments under the Agreement and/or (iv) the actions or omissions of the Users.


    9. If Eleanor – for whatever reason – would be liable to a User, this liability is limited to a maximum of 3 times the average Usage Fee related to the Assignment. 


    10. The Users agree to the provision of personal and contact details to Eleanor and by Eleanor to the other Users. 


    11. The Users give Eleanor permission for the processing of personal data. It is necessary for Eleanor to process personal data, including for the execution of these Terms and the Agreement. 


    1. These Terms are governed exclusively by Dutch law. Any disputes arising from or related to these Terms or the Agreement, insofar as it concerns Eleanor, will be submitted exclusively to the Amsterdam District Court.

And the freelancer (whom we simply call Freelancer , but could also have called self-employed or contractor) gets a potentially nice (and well-paid) job. Eleanor also takes away a large part of the administrative hassle that comes with establishing such an Assignment.

    1. Eleanor allows the Client and Freelancer to come to an agreement regarding the Assignment, which agreement can be generated by Eleanor or drafted and uploaded by the Client and the Freelancer themselves in Eleanor (the Agreement). Eleanor and the Mediator are not parties to this Agreement and have no involvement in its establishment and/or content.


    2. Additionally, Eleanor offers Users (see later in chapter C who these are) various modules through her Platform, which can (or may) be used in the execution of the Agreement (Modules). See chapter D for the different Modules.


    3. If an Agreement is established through Eleanor, the Client pays Eleanor a monthly usage fee for the use of the Platform (the Usage Fee) throughout the term and the Mediator receives a monthly fee for establishing a successful contact (Referral Fee). See chapter E for more information on fees, payments, and invoicing.

  1. HOW DOES ELEANOR WORK?

    For the Freelancer

    1. Freelancers can only sign up with Eleanor based on an invitation from Eleanor herself or via existing users, such as clients or already registered freelancers.  


    2. The Freelancer receives an email from the Platform with a registration link. The Client can register with Eleanor through the website (www.eleanor.tech) or, from the moment the app is available, through the app. By creating their own profile, the Client accepts the General Terms of Use.  The Client is able to publish new assignments and gain insight into suitable Freelancer profiles via the Platform.. 


    Introduction Client / Freelancer

    1. Once the Assignment has been published by the Client in Eleanor, Freelancers can sign up or propose freelancers from their trusted network. The Client obtains insight into the candidate's profile, including the CV and possibly a (referral) motivation.


    2. The Client and the Freelancer can then – outside of Eleanor – contact each other about the (establishment and content of the) Agreement. If the Client and the Freelancer wish to enter into an Agreement with each other, they can choose to use: 

    i) the model Agreement facilitated by Eleanor, including a number of optional provisions, or;

    ii) an Agreement drawn up by the Client and the Freelancer themselves.

    The Client and the Freelancer agree – outside of Eleanor – which terms and conditions form part of the a Agreement. 


    Use model Agreement Eleanor 

    1. If the Client and the Freelancer wish to use Eleanor’s facilitated model Agreement, the Client indicates in Eleanor which terms and possibly optional provisions (which can be checked in Eleanor) form part of the Agreement and approves the Agreement. 


    2. After approval of the Agreement by the Client, Eleanor generates the Agreement. The Agreement is sent by email to the Client and the Freelancer and can be signed digitally via Eleanor. Only after signing the Agreement by both the Client and the Freelancer, the Agreement is established. The Client, the Freelancer and if applicable the Mediator then receive a message from Eleanor that an Agreement has been established.


    Use own Agreement

    1. If the Client and the Freelancer wish to use an Agreement drawn up by the Client and the Freelancer themselves, the Client can upload the agreed and signed Agreement between the Client and the Freelancer in Eleanor. 


      • NB: For proper execution of the Agreement via Eleanor, the Client must enter or adjust the agreed fee, the start and end date and the contract hours per week of the Agreement in the Assignment in Eleanor. This happens through a pop-up after uploading the document.


    1. After uploading the Agreement and entering the agreed fee, the start and end date, and the contract hours per week in Eleanor, the Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that an Agreement has been established. 


      Extension of the Agreement 

    2. The Client, the Freelancer, and the Mediator receive a message via Eleanor at least one month before the Agreement's end date stating that the Agreement is coming to an end. This message offers the Client and the Freelancer the option to extend the Agreement.


    3. If the Client and the Freelancer wish to extend the Agreement, this extension is made on the same terms as the previous Agreement, except for the (new) start and end dates and – possibly – the fee and the number of contract hours per week. 


    4. The Client and the Freelancer can indicate in Eleanor if, and if so, for what period (the new start and end date), at what fee and what number of contract hours per week they wish to extend the Agreement. If both the Client and the Freelancer have agreed in Eleanor for the extension of the Agreement, the period of that extension, and the fee, a new Agreement is established. If the Client and Freelancer wish to amend the Agreement (for the purpose of the extension) on more items than mentioned in this article 22, a new Task must be created by the Client, in accordance with the provisions of articles 15 of this Agreement.


    1. The Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that a (follow-up) Agreement has been established. This message also displays the essential elements of the (follow-up) Agreement. 


    Modules 

    1. Eleanor facilitates various Modules that can (or may) be used for the execution of the Agreement:


      • Module Job Description: In this Module, the Client creates a task, optionally using the free AI functions.


      • Module Time Registration: In this Module, the Freelancer approves the hours they have worked on the Task based on the Agreement (the Worked Hours), at the latest on the last day of the month. If the actual hours differ, and if costs have been incurred for the project, the Freelancer can indicate this. The Client has a period of 3 working days after its entry to approve the Worked Hours. If the Client has not approved the Worked Hours within this period, the Worked Hours are deemed to have been approved by the Client. 


      • Module Accounting: In this module, all financial obligations and entitlements of the Users arising from these Terms and the Agreement are displayed. The Users always have access to this module.


      • Module Contract Management: This module facilitates the model Agreement, including optional provisions, any extension(s) and amendments thereof, and the digital signature.   


    2. Through the Platform, Eleanor can also offer Users additional modules to support the execution of the Agreement, against an additional, separately agreed fee.


  1. TRANSFER, FEES AND PAYMENT THEREOF


    1. The Freelancer and the Client make agreements on a fee per worked hour in the Agreement (the Fee). The Fee is exclusive of the Referral Fee (for the Mediator) and the Usage Fee (for Eleanor). 


    2. With the Agreement, the Freelancer transfers their claims from the Agreement on the Client to Eleanor (this is called transfer). The Freelancer explicitly agrees to this transfer and the Client declares to be aware of this transfer. This transfer means that Eleanor will invoice the Fee and the Client must pay Eleanor in full discharge. 


    3. Eleanor sends a monthly invoice to the Client for the Fee, at the latest 1 working day after the Client has approved the Worked Hours in the Time Registration Module. The Client pays the invoice within the contractually agreed payment term.

      • NB: if the Client and the Freelancer use an Agreement drawn up by the Client and the Freelancer themselves, - as far as necessary deviating from the invoicing and payment agreements in that Agreement – the provisions in articles 27 through 29 of these Terms apply.


    1. Eleanor receives a Usage Fee for providing the Platform. The Usage Fee is equal to an amount of EUR 3.50 excluding VAT per Worked Hour.


    2. Where applicable, the Mediator receives a Referral Fee for establishing a contact. This Referral Fee is equal to an amount of EUR 2.50 excluding VAT per Worked Hour. Eleanor uses reverse billing. This means that Eleanor will send a Mediator an invoice for the Referral Fee drawn up by Eleanor each month, stating "invoice issued by the recipient". Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


    3. Eleanor also uses reverse billing for paying the Freelancer (see above in article 30). Eleanor sends an invoice to the Freelancer, stating "invoice issued by recipient" for the amount of the Fee remaining after deduction of the Usage and Referral Fee. Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day, after Eleanor has received the Fee from the Client. 


  1. EXCLUSIVITY 


    1. An important goal of Eleanor is that the Mediator is rewarded for making their network available to the Client and the Freelancer. It would therefore not be fair and would not align with the idea of Eleanor if the Client and the Freelancer - after being connected through the Mediator via Eleanor - bypass both the Mediator and Eleanor by contracting with each other outside of Eleanor. This also applies when Freelancer and Client make contact without the Mediator's intervention outside Eleanor to coordinate the terms of their Agreement.


    2. To counter this, the Client (and/or its affiliate companies) and the Freelancer are not allowed to enter into any agreement, in any form whatsoever, with each other directly – thus outside Eleanor – without Eleanor's written permission, for a period of 3 months after the project's publication. Eleanor will not unreasonably withhold its permission, for example in case the subject of the agreement to be concluded by the Freelancer and the Client is about a substantially different project than the Assignment or substantially different work than required for the Assignment.  


    3. Upon violation of the exclusivity clause of article 33 of these Terms, the Client and the Freelancer are each individually liable to pay a penalty to Eleanor of EUR 3,000 per violation. The penalty is immediately enforceable, without further notice, default, or judicial intervention. Any penalty received by Eleanor based on this article will be awarded 50% to the Mediator, if applicable.. 


  1. MISCELLANEOUS 


    1. The Mediator confirms that he/she does not use Eleanor in the exercise of a profession or business and only uses it incidentally. 


    2. The Client and the Freelancer grant the Mediator permission to view the Task and the Time Registration Module. 


    3. Eleanor offers a (model) agreement to the Client and the Freelancer as a service, including optional provisions. The use of this agreement and/or the optional provisions is at the Client's and the Freelancer's discretion. The Client and the Freelancer confirm they do not intend to enter into an employment agreement within the meaning of article 7:610 of the Dutch Civil Code with each other. 


    4. Eleanor is not liable for the consequences of using this (model) agreement or the optional provisions. The agreement is entered into between the Client and the Freelancer. Eleanor and, if applicable, the Mediator are not parties to this agreement and neither have any involvement in the content and execution of the agreement. 


    5. Eleanor is not liable for the quality of the work delivered by the Freelancer or the quality of a Task of the Client, nor for the recruitment and selection of the Freelancer. Eleanor provides a Platform to facilitate the meeting of supply and demand, but has no substantive involvement in this. 


    6. The Users themselves are responsible for filing correct declarations for all taxes, social security premiums, and other contributions owed by them under the Terms and/or the Agreement and ensuring timely payment thereof. 


    7. Eleanor reserves the right to refuse or terminate a User's registration.


    8. Eleanor is not responsible and/or liable for (i) any content posted on or damage arising from the Platform, its website or application (ii) damage arising from failure to comply fully with one or more provisions of these Terms and/or the Agreement, including but not limited to payments under the Agreement and/or (iv) the actions or omissions of the Users.


    9. If Eleanor - for whatever reason - is liable to a User, this liability is limited to a maximum of 3 times the average Usage Fee in relation to the Assignment. 


    10. The Users agree to the provision of personal and contact details to Eleanor and by Eleanor to the other Users. 


    11. The Users give Eleanor permission to process personal data. It is necessary for Eleanor to process personal data, including for the execution of these Terms and the Agreement. 


    1. The Terms are governed solely by Dutch law. Any disputes arising from or related to these Terms or the Agreement, insofar as they concern Eleanor, will be submitted exclusively to the Amsterdam District Court.

  1. WELCOME


    1. Welcome to the general terms and conditions of Eleanor. Like our service, we try to keep these terms and conditions as simple as possible. This is not always feasible, and sometimes we cannot avoid legal wording; if something is unclear, or if you have other questions about these terms or about Eleanor, please feel free to email info@eleanor.tech.



  1. WHAT IS ELEANOR?


    1. Eleanor is a (digital) platform (Eleanor or the Platform) where a freelancer can get in touch themselves, or bring a fellow freelancer in touch with a client for the execution of a possible task (the Lead or the Assignment). The freelancer who establishes the contact (we call this freelancer the Mediator) can also earn some extra money. 


      The client (whom we conveniently call the Client) can thus get in touch with a freelancer from a trusted network. Using Eleanor can also significantly save on recruitment costs for the Client. And the freelancer (whom we simply call Freelancer , but could also have called self-employed or contractor) gets a potentially nice (and well-paid) job. Eleanor also takes away a large part of the administrative hassle that comes with establishing such an Assignment.


      A win-win-win situation!


    1. Eleanor allows the Client and Freelancer to come to an agreement regarding the Assignment, which agreement can be generated by Eleanor or drafted and uploaded by the Client and the Freelancer themselves in Eleanor (the Agreement). Eleanor and the Mediator are not parties to this Agreement and have no involvement in its establishment and/or content.


    2. Additionally, Eleanor offers Users (see later in chapter C who these are) various modules through her Platform, which can (or may) be used in the execution of the Agreement (Modules). See chapter D for the different Modules.


    3. If an Agreement is established through Eleanor, the Client pays Eleanor a monthly usage fee for the use of the Platform (the Usage Fee) throughout the term and the Mediator receives a monthly fee for establishing a successful contact (Referral Fee). See chapter E for more information on fees, payments, and invoicing.



  1. APPLICABILITY


    1. These terms of use of Eleanor (the Terms) – which Eleanor can unilaterally amend from time to time – apply to any use of Eleanor (both via computer and mobile devices) by the Users of the Terms. The Users of the Terms are the Mediator, the Client, and the Freelancer. If Eleanor changes the Terms, she will inform the Users of this. 


    2. By registering with Eleanor, the User accepts these Terms.  


    3. All general terms and conditions of the Users are expressly rejected and do not apply to the use of Eleanor by the Users.

       

    4. If a provision from the Terms is invalid or unenforceable, the other provisions from the Terms remain fully effective. The invalid or unenforceable provision will then be replaced by a provision that closely aligns with it. 



  1. HOW DOES ELEANOR WORK?

    For the Freelancer

    1. Freelancers can only sign up with Eleanor based on an invitation from Eleanor herself or via existing users, such as clients or already registered freelancers.  


    2. The Freelancer receives an email from the Platform with a registration link. Via the link and after verifying the email address, the Freelancer can register with Eleanor by creating their own profile. After registration, the freelancer can further complete their profile with personal and financial details. By creating their own profile, the freelancer accepts the general terms of use. The freelancer gains access to freelance assignments via the Platform and can fulfill the role as Mediator. 


    For the Mediator

    1. A Freelancer takes on the role of Mediator when they propose their trusted network of Freelancers for assignments.

    For the Client

    1. The Client can register with Eleanor through the website (www.eleanor.tech) or, from the moment the app is available, through the app. By creating their own profile, the Client accepts the General Terms of Use.  The Client is able to publish new assignments and gain insight into suitable Freelancer profiles via the Platform.. 


    Introduction Client / Freelancer

    1. Once the Assignment has been published by the Client in Eleanor, Freelancers can sign up or propose freelancers from their trusted network. The Client obtains insight into the candidate's profile, including the CV and possibly a (referral) motivation.


    2. The Client and the Freelancer can then – outside of Eleanor – contact each other about the (establishment and content of the) Agreement. If the Client and the Freelancer wish to enter into an Agreement with each other, they can choose to use: 

    i) the model Agreement facilitated by Eleanor, including a number of optional provisions, or;

    ii) an Agreement drawn up by the Client and the Freelancer themselves.

    The Client and the Freelancer agree – outside of Eleanor – which terms and conditions form part of the a Agreement. 


    Use model Agreement Eleanor 

    1. If the Client and the Freelancer wish to use Eleanor’s facilitated model Agreement, the Client indicates in Eleanor which terms and possibly optional provisions (which can be checked in Eleanor) form part of the Agreement and approves the Agreement. 


    2. After approval of the Agreement by the Client, Eleanor generates the Agreement. The Agreement is sent by email to the Client and the Freelancer and can be signed digitally via Eleanor. Only after signing the Agreement by both the Client and the Freelancer, the Agreement is established. The Client, the Freelancer and if applicable the Mediator then receive a message from Eleanor that an Agreement has been established.


    Use own Agreement

    1. If the Client and the Freelancer wish to use an Agreement drawn up by the Client and the Freelancer themselves, the Client can upload the agreed and signed Agreement between the Client and the Freelancer in Eleanor. 


      • NB: For proper execution of the Agreement via Eleanor, the Client must enter or adjust the agreed fee, the start and end date and the contract hours per week of the Agreement in the Assignment in Eleanor. This happens through a pop-up after uploading the document.


    1. After uploading the Agreement and entering the agreed fee, the start and end date, and the contract hours per week in Eleanor, the Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that an Agreement has been established. 


      Extension of the Agreement 

    2. The Client, the Freelancer, and the Mediator receive a message via Eleanor at least one month before the Agreement's end date stating that the Agreement is coming to an end. This message offers the Client and the Freelancer the option to extend the Agreement.


    3. If the Client and the Freelancer wish to extend the Agreement, this extension is made on the same terms as the previous Agreement, except for the (new) start and end dates and – possibly – the fee and the number of contract hours per week. 


    4. The Client and the Freelancer can indicate in Eleanor if, and if so, for what period (the new start and end date), at what fee and what number of contract hours per week they wish to extend the Agreement. If both the Client and the Freelancer have agreed in Eleanor for the extension of the Agreement, the period of that extension, and the fee, a new Agreement is established. If the Client and Freelancer wish to amend the Agreement (for the purpose of the extension) on more items than mentioned in this article 22, a new Task must be created by the Client, in accordance with the provisions of articles 15 of this Agreement.


    1. The Client, the Freelancer and if applicable the Mediator receive a message via Eleanor that a (follow-up) Agreement has been established. This message also displays the essential elements of the (follow-up) Agreement. 


    Modules 

    1. Eleanor facilitates various Modules that can (or may) be used for the execution of the Agreement:


      • Module Job Description: In this Module, the Client creates a task, optionally using the free AI functions.


      • Module Time Registration: In this Module, the Freelancer approves the hours they have worked on the Task based on the Agreement (the Worked Hours), at the latest on the last day of the month. If the actual hours differ, and if costs have been incurred for the project, the Freelancer can indicate this. The Client has a period of 3 working days after its entry to approve the Worked Hours. If the Client has not approved the Worked Hours within this period, the Worked Hours are deemed to have been approved by the Client. 


      • Module Accounting: In this module, all financial obligations and entitlements of the Users arising from these Terms and the Agreement are displayed. The Users always have access to this module.


      • Module Contract Management: This module facilitates the model Agreement, including optional provisions, any extension(s) and amendments thereof, and the digital signature.   


    2. Through the Platform, Eleanor can also offer Users additional modules to support the execution of the Agreement, against an additional, separately agreed fee.


  1. TRANSFER, FEES AND PAYMENT THEREOF


    1. The Freelancer and the Client make agreements on a fee per worked hour in the Agreement (the Fee). The Fee is exclusive of the Referral Fee (for the Mediator) and the Usage Fee (for Eleanor). 


    2. With the Agreement, the Freelancer transfers their claims from the Agreement on the Client to Eleanor (this is called transfer). The Freelancer explicitly agrees to this transfer and the Client declares to be aware of this transfer. This transfer means that Eleanor will invoice the Fee and the Client must pay Eleanor in full discharge. 


    3. Eleanor sends a monthly invoice to the Client for the Fee, at the latest 1 working day after the Client has approved the Worked Hours in the Time Registration Module. The Client pays the invoice within the contractually agreed payment term.

      • NB: if the Client and the Freelancer use an Agreement drawn up by the Client and the Freelancer themselves, - as far as necessary deviating from the invoicing and payment agreements in that Agreement – the provisions in articles 27 through 29 of these Terms apply.


    1. Eleanor receives a Usage Fee for providing the Platform. The Usage Fee is equal to an amount of EUR 3.50 excluding VAT per Worked Hour.


    2. Where applicable, the Mediator receives a Referral Fee for establishing a contact. This Referral Fee is equal to an amount of EUR 2.50 excluding VAT per Worked Hour. Eleanor uses reverse billing. This means that Eleanor will send a Mediator an invoice for the Referral Fee drawn up by Eleanor each month, stating "invoice issued by the recipient". Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day after Eleanor has received the Fee from the Client. 


    3. Eleanor also uses reverse billing for paying the Freelancer (see above in article 30). Eleanor sends an invoice to the Freelancer, stating "invoice issued by recipient" for the amount of the Fee remaining after deduction of the Usage and Referral Fee. Eleanor sends the invoice no later than 1 working day after the Client has approved the Worked Hours in the Time Registration Module. Eleanor pays the invoice no later than 1 working day, after Eleanor has received the Fee from the Client. 


  1. EXCLUSIVITY 


    1. An important goal of Eleanor is that the Mediator is rewarded for making their network available to the Client and the Freelancer. It would therefore not be fair and would not align with the idea of Eleanor if the Client and the Freelancer - after being connected through the Mediator via Eleanor - bypass both the Mediator and Eleanor by contracting with each other outside of Eleanor. This also applies when Freelancer and Client make contact without the Mediator's intervention outside Eleanor to coordinate the terms of their Agreement.


    2. To counter this, the Client (and/or its affiliate companies) and the Freelancer are not allowed to enter into any agreement, in any form whatsoever, with each other directly – thus outside Eleanor – without Eleanor's written permission, for a period of 3 months after the project's publication. Eleanor will not unreasonably withhold its permission, for example in case the subject of the agreement to be concluded by the Freelancer and the Client is about a substantially different project than the Assignment or substantially different work than required for the Assignment.  


    3. Upon violation of the exclusivity clause of article 33 of these Terms, the Client and the Freelancer are each individually liable to pay a penalty to Eleanor of EUR 3,000 per violation. The penalty is immediately enforceable, without further notice, default, or judicial intervention. Any penalty received by Eleanor based on this article will be awarded 50% to the Mediator, if applicable.. 


  1. MISCELLANEOUS 


    1. The Mediator confirms that he/she does not use Eleanor in the exercise of a profession or business and only uses it incidentally. 


    2. The Client and the Freelancer grant the Mediator permission to view the Task and the Time Registration Module. 


    3. Eleanor offers a (model) agreement to the Client and the Freelancer as a service, including optional provisions.
